Eurovanille
1. Dispositions générales
Les présentes conditions générales de vente (ci-après les « CGV ») régissent les ventes de produits (ci-après les « Produits ») réalisées par la société Eurovanille (ci-après « Eurovanille ») auprès de tout acheteur professionnel (ci-après le « Client »). Elles constituent le socle unique de la négociation commerciale conformément au Code de commerce. Toute commande passée auprès d’Eurovanille emporte l’adhésion pleine et entière du Client aux présentes CGV, à l’exclusion de tout autre document émanant du Client, sauf accord écrit préalable d’Eurovanille. Eurovanille se réserve le droit de modifier les CGV à tout moment. Les CGV applicables sont celles en vigueur à la date de la commande.2. Commande
Les commandes ne deviennent définitives qu’après acceptation expresse par Eurovanille. Toute commande passée par le Client est ferme et ne peut être modifiée ou annulée sans accord écrit préalable d’Eurovanille. Le Client supportera les frais engendrés par toute annulation ou modification de la commande.3. Prix
Les prix et leur durée de validité sont communiqués avant toute commande. Sauf accord contraire, ces prix s’entendent en Euros, emballage compris, départ usine et hors taxes. Le tarif applicable est celui en vigueur à la date de la livraison convenue entre les Parties. Eurovanille se réserve le droit de modifier les prix des Produits, à tout moment avec information préalable du Client dans un délai raisonnable.4. Paiement
Une facture sera émise pour chaque livraison de Produits. La première commande de tout nouveau Client est payable par virement à la commande. Sous réserve d’une garantie crédit valide accordée par l’assureur d’Eurovanille, le délai de paiement applicable est celui indiqué sur la facture. A défaut de précision, les factures sont payables à trente (30) jours à compter de leur date d’émission. En cas de retard de paiement, des intérêts de retard sont automatiquement appliqués à un taux égal à trois (3) fois le taux de l’intérêt légal, exigibles dès le lendemain de l’échéance, ainsi qu’une indemnité forfaitaire de 40 € pour frais de recouvrement. Tout retard de paiement pourra entraîner la suspension des livraisons en cours et l’exigibilité immédiate de toutes les sommes restant dues. Sauf accord exprès, préalable et écrit d’Eurovanille, le Client est tenu de payer toutes les sommes dues sans déduction ou compensation. Eurovanille se réserve la propriété des Produits livrés jusqu’au paiement intégral par le Client.5. Livraison
Les Produits sont livrés conformément à l’Incoterm® 2020 mentionné sur la commande et/ou la facture. A défaut, les livraisons sont réputées effectuées selon l’Incoterm® EXW (Ex Works) – Gouy-Saint-André. Les délais de livraison sont donnés à titre indicatif et n’ont pas valeur contractuelle. Eurovanille ne pourra être tenue responsable des retards dus à des causes indépendantes de sa volonté, notamment force majeure, transport, douanes ou réglementations locales. En cas de retard prévisible, Eurovanille s’engage à en informer le Client dans un délai raisonnable. Les retards éventuels de livraison ne peuvent ni donner lieu à dommages-intérêts, indemnités, pénalités, ni motiver l’annulation ou le refus de livraison de la commande.6. Transfert des risques
Le transfert des risques sur les Produits s’effectue selon l’Incoterm® 2020 applicable à la vente.7. Réclamation / Retour produits
A réception, le Client doit vérifier la conformité des Produits avec la commande ainsi que l’absence de vices apparents. Toute réclamation à ce titre doit être adressée à Eurovanille dans un délai de huit (8) jours à compter de la date de livraison à l’adresse suivante : quality@eurovanille.com. A défaut, les Produits sont réputés acceptés sans réserve. Indépendamment de ce qui précède, en cas d’avarie, perte ou dommage survenus pendant le transport, le Client doit formuler les réserves nécessaires auprès du transporteur et en informer Eurovanille dans un délai de trois (3) jours ouvrables suivant la réception. Les Produits bénéficient d’une garantie courant de leur date de production jusqu’à leur « Date de Durabilité Minimale » (DDM), telle qu’indiquée dans les fiches techniques, sous réserve que les Produits aient été conservés, manipulés et utilisés conformément aux recommandations d’Eurovanille. Cette garantie couvre les vices cachés et les défauts de fabrication rendant les Produits non conformes. En cas de non-conformité dûment constatée après vérification contradictoire, Eurovanille pourra, à son choix, remplacer les Produits, ou annuler la commande et rembourser le Client. Aucun retour de Produits ne pourra être effectué sans l’accord écrit préalable d’Eurovanille. Les frais de retour seront supportés par Eurovanille uniquement en cas de non-conformité des Produits.8. Etiquettes – conformité réglementaire
Eurovanille est responsable de la conformité de l’étiquetage des Produits commercialisés sous ses propres marques, tels que mis sur le marché de l’Union européenne, uniquement pour les langues suivantes : français, italien, espagnol, anglais et allemand. Le Client est responsable de la conformité de l’étiquetage des Produits aux réglementations applicables dans le pays d’importation ou de commercialisation. Il est également responsable de toute traduction dans une autre langue que celles précitées, ainsi que de toute modification, ajout ou suppression de l’étiquetage qu’il effectue. Pour les Produits commercialisés sous ses propres marques, le Client est seul responsable de la conformité de l’étiquetage.9. Propriété intellectuelle
Le Client reconnait que l’ensemble des droits de propriété intellectuelle et du savoir-faire relatifs aux Produits fournis par Eurovanille, notamment les marques, logos, et recettes et tout autre élément associé aux Produits, qu’ils soient protégés ou non par un droit de propriété intellectuelle, demeurent la propriété exclusive d’Eurovanille. Le Client n’acquiert aucun droit de propriété sur ces éléments. Toute reproduction ou utilisation des visuels des Produits fournis par Eurovanille au Client est subordonnée à l’accord écrit préalable d’Eurovanille et strictement limitée aux besoins de promotion et de commercialisation des Produits.10. Responsabilité
La responsabilité d’Eurovanille, toutes causes confondues, est limitée au montant total hors taxes de la commande concernée par le litige. Eurovanille ne pourra en aucun cas être tenue responsable des dommages immatériels ou indirects tels que notamment la perte de chiffre d’affaires, de marge, de clientèle ou d’exploitation.11. Retrait/rappel
Le Client s’interdit de procéder à toute procédure de retrait et /ou de rappel de Produits de façon unilatérale sans avoir préalablement consulté Eurovanille.12. Force majeure
Aucune des Parties ne pourra être tenue responsable d’un retard ou d’une inexécution de ses obligations en cas de survenance d’un événement de force majeure au sens de l’Article 1218 du Code civil. Sont notamment considérés comme tels les catastrophes naturelles, incendies, pandémies, grèves, ruptures d’approvisionnement, pénuries de matières premières, incidents de production, interruptions de transport ou tout événement extérieur, imprévisible et irrésistible. L’exécution des obligations est suspendue pendant la durée de l’événement sans pénalité pour Eurovanille.13. Résiliation
En cas de manquement du Client à l’une quelconque de ses obligations, Eurovanille pourra suspendre immédiatement l’exécution des prestations en cours. À défaut de régularisation dans un délai de quinze (15) jours suivant mise en demeure Eurovanille pourra mettre fin de plein droit à la relation commerciale, sans préjudice de tous dommages et intérêts.14. Confidentialité
Les Parties s’engagent à conserver strictement confidentielles les informations échangées dans le cadre de la relation commerciale et à ne pas les divulguer ni les utiliser à d’autres fins que l’exécution du contrat. Les informations confidentielles devront être restituées ou détruites sur demande. Cette obligation s’applique pendant la durée du contrat et pendant 5 ans après son terme, toute violation pouvant engager la responsabilité de la partie défaillante.15. Données personnelles
Dans le cadre de leur relation, Eurovanille et le Client sont amenés à collecter des données à caractère personnel l’un sur l’autre et/ou sur leurs employés. Ces traitements sont mis en œuvre afin d’assurer notamment le suivi de la relation d’affaires. Eurovanille et le Client s’engagent à traiter les données à caractère personnel dans le respect des lois applicables en matière de protection des données et notamment du Règlement Général sur la Protection des Données n° 2016/679 du 27 avril 2016 (désigné « RGPD »). Toute personne concernée peut exercer ses droits d’accès, de rectification, d’effacement, de limitation du traitement ou d’opposition en adressant sa demande à l’adresse électronique suivante : digital@eurovanille.com.16. Contrôle des exportations / Anti-Corruption
Le Client s’engage à respecter l’ensemble des réglementations applicables en matière de lutte contre la corruption, de contrôle des exportations et de sanctions économiques, notamment celles édictées par l’ONU, l’Union européenne et toute législation nationale applicable. Le Client s’interdit de vendre, exporter, réexporter ou transférer les Produits, directement ou indirectement, en violation de ces réglementations. Le Client garantit Eurovanille contre toute responsabilité résultant d’un manquement à ces obligations.17. Litige
Les CGV sont régies par le droit français. A défaut d’accord amiable, tout différend relatif aux CGV, et/ou à la relation commerciale sera porté devant le tribunal de commerce de Boulogne-sur-Mer quel que soit le lieu d’exécution de la commande ou le domicile du défendeur.Version Mai 2026 – Eurovanille SAS
General Terms and Conditions of Sale
Eurovanille
1. General Provisions
These general terms and conditions of sale (hereinafter the “GTC”) shall govern the sale of products (hereinafter the “Products”) by Eurovanille (hereinafter “Eurovanille”) to any business customer (hereinafter the “Customer”). They shall constitute the sole basis for commercial negotiations in accordance with the French Commercial Code. Any order placed with Eurovanille shall imply the Customer’s full and unconditional acceptance of these GTC, to the exclusion of any other document issued by the Customer, unless expressly agreed otherwise by Eurovanille. Eurovanille reserves the right to amend the GTC at any time. The applicable GTC shall be those in force on the date of the order.
2. Order
Orders shall become final upon express confirmation by Eurovanille. Any order placed by the Customer shall be binding and may not be amended or cancelled without Eurovanille’s prior written consent. The Customer shall bear all costs incurred as a result of the cancellation or amendment of the order.
3. Prices
Prices and their period of validity shall be communicated prior to any order. Unless otherwise agreed, prices shall be expressed in Euros, inclusive of packaging, ex-works and exclusive of tax. The applicable price shall be the price in force on the delivery date agreed between the Parties. Eurovanille reserves the right to amend the prices of the Products at any time, subject to reasonable prior notice being given to the Customer.
4. Payment
An invoice shall be issued for each delivery of Products. The first order from any new Customer shall be payable by bank transfer upon placement of the order. Subject to a valid credit guarantee granted by Eurovanille’s insurer, the applicable payment terms shall be those stated on the invoice. In the absence of any specific terms, invoices shall be payable within thirty (30) days from the date of issue. In the event of late payment, interest shall automatically accrue at a rate equal to three (3) times the statutory interest rate, payable from the day following the due date, together with a fixed compensation of €40 for recovery costs. Any delay in payment may result in the suspension of ongoing deliveries and the immediate payment of all outstanding sums. Unless otherwise agreed in writing by Eurovanille, the Customer shall pay all sums due without any deduction or set off. Eurovanille shall retain title to the delivered Products until full payment of the price by the Customer.
5. Delivery
Products shall be delivered in accordance with the Incoterm® 2020 specified in the order and/or invoice. If not specified, deliveries are deemed to have been made under Incoterm® EXW (Ex Works) – Gouy-Saint-André. Delivery times are indicative and not contractually binding. Eurovanille shall not be held liable for delays caused by circumstances beyond its control, in particular force majeure, transport, customs or local regulations. In the event of a foreseeable delay, Eurovanille shall inform the Customer within a reasonable timeframe. Any delay in delivery shall not give rise to damages, compensation, or penalties, nor shall such delay justify the cancellation of or refusal to accept the order.
6. Transfer of risk
The transfer of risk of the Products shall take place in accordance with the Incoterm® 2020 agreed by the Parties.
7. Complaints / Product returns
Upon receipt, the Customer shall verify that the Products comply with the order and that there are no apparent defects. Any claim must be notified to Eurovanille within eight (8) days of the delivery date to the following address: quality@eurovanille.com. Beyond this period, the Products shall be considered fully accepted. Notwithstanding the foregoing, in the event of damage, loss or defect occurring during transport, the Customer must make the reservations with the carrier and inform Eurovanille within three (3) working days of receipt. The Products are covered by a warranty from their date of manufacture until their « Best Before Date » (BBD), as indicated in the technical data sheets, provided that they have been stored, handled and used in accordance with Eurovanille’s recommendations. This warranty shall cover hidden defects and manufacturing defaults rendering the Products non-compliant. If contradictory inspection between the Parties confirms that the Products are non-compliant, Eurovanille may, at its sole discretion, replace the Products or cancel the order and refund the Customer. No Products may be returned without Eurovanille’s prior written consent. Return costs shall be borne by Eurovanille only in the event of non-conformity of the Products.
8. Labels – Regulatory compliance
Eurovanille is liable for the compliance of the labelling of Products marketed under its own brands, as placed on the market in the European Union, solely for the following languages: French, Italian, Spanish, English and German. The Customer shall be responsible for ensuring that the labelling of the Products complies with the regulations applicable in the country of import or sale. The Customer shall also be responsible for any translation into a language other than those mentioned above, as well as for any modification, addition or deletion made by the Customer to the labelling. For Products sold under its own brands, the Customer is solely responsible for the compliance of the labelling.
9. Intellectual Property
The Customer acknowledges that all intellectual property rights and know-how relating to the Products supplied by Eurovanille, including, in particular trademarks, logos, recipes and any other element associated with the Products, whether or not protected by intellectual property rights, shall remain the exclusive property of Eurovanille. The Customer shall acquire no rights of ownership in respect of such elements. Any reproduction or use of the visuals of the Products supplied by Eurovanille to the Customer is subject to Eurovanille’s prior written consent and shall be strictly limited to the purposes of promoting and marketing the Products.
10. Liability
Eurovanille’s liability, for any cause whatsoever, is limited to the total amount, excluding taxes, of the order given rise to the claim. Eurovanille shall in no event be held liable for any consequential or indirect damages, including but not limited to loss of turnover, profit margin, customers or business operations.
11. Withdrawal/Recall
The Customer shall not undertake any withdrawal and/or recall of the Products without prior consultation with and agreement from Eurovanille.
12. Force majeure
Neither Party shall be held liable for any delay or failure to perform its obligations in the event of a force majeure event within the meaning of Article 1218 of the Civil Code. Such events shall include, in particular, natural disasters, fires, pandemics, strikes, supply disruptions, raw material shortages, production incidents, transport disruptions or any external, unforeseeable and unavoidable event. The performance of obligations shall be suspended for the duration of such event without liability for Eurovanille.
13. Termination
In the event of a failure by the Customer to fulfil any of its obligations, Eurovanille may immediately suspend the performance of ongoing obligations. If such failure is not remedied within fifteen (15) days following formal notice, Eurovanille may terminate the commercial relationship as of right, without prejudice to any claim for damages.
14. Confidentiality
The Parties shall keep strictly confidential any information exchanged in the course of their business relationship and shall not disclose or use such information for any purpose other than the performance of the contract. Confidential information shall be returned or destroyed upon request. This obligation shall remain in force for the duration of the contract and for a period of 5 years following its termination. Any breach of this obligation may result in the liability of the defaulting party.
15. Personal data
During their relationship, Eurovanille and the Customer may collect personal data about each other and/or their respective employees. Such processing shall be carried out in particular, for the purpose of managing the business relationship. Eurovanille and the Customer undertake to process personal data in compliance with applicable data protection laws, in particular the General Data Protection Regulation No. 2016/679 of 27 April 2016 (referred to as the “GDPR”). Any data subject may exercise their rights of access, rectification, erasure, restriction of processing or objection by sending their request to the following email address: digital@eurovanille.com.
16. Export Controls / Anti-Corruption
The Customer shall comply with all applicable regulations relating to anti-corruption, export controls and economic sanctions, in particular those enacted by the United Nations, the European Union and any applicable national legislation. The Customer shall not sell, export, re-export or transfer the Products, directly or indirectly, in breach of such regulations. The Customer shall indemnify Eurovanille against any liability arising from a breach of these obligations.
17. Disputes
These T&Cs are governed by French law. In the absence of an amicable settlement, any dispute relating to these T&Cs and/or the commercial relationship shall fall within the exclusive jurisdiction of the Commercial Court of Boulogne-sur-Mer, regardless of the place of performance of the order or the defendant’s domicile.
